Proposed Change to By Laws Article IX, Section 1
Article IX, Section 1. There shall be a Board of Directors of the Association composed of the President, Secretary, Treasurer, First Vice-President, Northern Vice-President, Southern Vice-President, and Six (6) Directors. Three (3) of these Directors shall be elected from the South and Three (3) shall be elected from the North. Between annual meetings, the twelve-member Board will be reimbursed $25.00 for each meeting attended with a maximum of $25.00 each day. The President will receive $50.00 for each meeting.
Issue: Membership has declined in both the South and in the North and it is difficult to maintain a board of 12 and is impractical considering the active membership.
Proposed Change: There shall be a Board of Directors of the Association composed of the President, Secretary, Treasurer, First Vice-President and three (3) Directors. One of these Directors shall be elected from the North. Between annual meetings the 7-member Board will be reimbursed $25.00 for each Meeting attended with a maximum of $25.00 each day. The President will receive $50 for each meeting.
This change does not affect Article VI, Section 2: TERM OF OFFICE: The President of the Association shall hold office for two (2) years. A First Vice President shall be elected every two years. At the expiration of his/her two-year term of office, he/she shall move up to the office of President, and shall serve as President, for a term of two (2) years. At the close of his/her two-year term as President, he/she shall then become a member of the Board of Directors as President Emeritus and shall serve in that capacity for a period of one (1) year. President Emeritus has no voting rights, but is entitled to reimbursement. The position of President and First Vice President shall be represented by the North and South (i.e. President is from geographical north area; First Vice President shall be from the geographical south area. The President shall appoint a Secretary and a Treasurer. The Secretary and Treasurer shall be voting members of the Board of Directors. Any person appointed by the President to the position of Treasurer who is not a member of the Association (i.e. a CPA, accountant, ect.) must be bonded. The Board of Directors, except those members who are officers of the Association as herein above provided, shall be elected each year for a term of one (1) year.
This change in the By Law will make the constitution of a Board of Directors easier and will reduce cost to the Association. The Board will be reduced from 12 voting members to 7, and will continue to be represented by both the north and south.
Proposed amendment to CPPA Rule Section 2
Issue: The Association has had ten (10) match sponsors and scheduled 10 matches, 2 tournaments per match for a total of 20 tournaments per year for approximately the last ten years. The Board of Directors has limited match sponsors from only holding one (1) match per year. With declining membership, the Association has also lost match sponsors. For the last couple of years, the Board of Directors has allowed a match sponsor to hold an additional match to bring the total matches up to 10 matches per year. Currently there is no provisions in the rules to allow a match sponsor to hold more than one match, nor a provision restricting a match sponsor from holding more than one match.
Proposed Amendment to CPPA Rule Section 2, sub-section 3 G: Match Sponsors shall be limited to one (1) Match per year that shall consist of no more than two (2) tournaments. In the event there is not ten (10) induvial match sponsors, additional matches maybe added to the schedule to ensure there are ten (10) scheduled matches, for a total of twenty (20) tournaments at the direction of the Board of Directors. These additional matches will be called CPPA Matches and run by a current match sponsor as an additional match. The selection of a match sponsor of an additional match by the Board of Directors shall be by Match Sponsor Seniority and will be voluntary. A Match Sponsor electing to hold an additional match will be responsible for conducting the match in accordance with the rules set forth by the CPPA and is responsible for all fees due to the Association.
This amendment will ensure the CPPA continues holding ten (10) matches per year, allowing enough matches for members to qualify for yearend awards and Governors 15 as well as team awards.
